| Most studies of urban construction investment enterprises’ financing legal issues focus on risk prevention and control in Economics, especially in Finance, while ignoring the core issues of governance:how to solve the guarantee problems and solvency problems of Urban Construction Investment Enterprises. This article will attempt to answer the following questions:what are the problems existing in finance? And how to solve these paradoxes within the law?This article involves four legal problems:first one is financing legal status, second one is the role of government in the process of corporate finance, third one is the guarantee problem of the corporate financing, fourth one is the problem of defective solvency guarantee. These problems are so tough, especially in debt problem came from financing. It is a tough question which not only can promote economic, but also can prevent from the risk in the process. To solve the problems during the debt risk of the Urban Construction Investment Enterprise on account of the legal issues that comes from financing, identify the source of Urban Construction Investment Enterprise to generate debt risk in financing process, listed a series of problems of its existence, find responses to address these issues from a legal perspective.This paper includes four parts to discuss:At first, it’s mainly about the introductory theory of the paper, includes the background and reasons of writing, the literature review and the research methods. Secondly, it outlines the basic legal law issues of the Urban Construction Investment Enterprise in the process of financing. It includes the analysis of related concepts, the current situation and the dilemma during the process of corporate finance. This paper expounds the finance legal issues in the process of Urban Construction Investment Enterprises emphatically. Thirdly, this paper introduces the provisions of the United States and the feasibility of reference about the relevant issues. Lastly, according to the problem raised, the paper provides solutions that mainly discussed from the perspective of a law, put forward a series of Urban Construction Investment Enterprises to deal with the problems by law. |
