Thus, the increasing transnational M&A in China has had a profound impact on our social and economic development. Relative to the United States, the European Union, Germany and other developed countries transnational M&A censorship in our country still has a lot to improve, such as loose system, legal norm of low levels, the imperfect system, the unclear instructions. Therefore, in order to better adapt to the development of the market, attracting foreign investment as much as possible at the same time, the maximum to prevent or reduce the cross-border M&A of our country competitive field, national information security industry, the economic security, etc. Perfect and reasonable censorship of transnational M&A will greatly promote the healthy and orderly development of the market in our country, in attracting foreign investment and technology at the same time maintain their own economic security.In this paper, through the comparative analysis of research methods, after clarify cross-border M&A review based on the theory, discussed, analysis and comparison of the typical state of cross-border M&A review system. And then review the current situation of transnational Merger and Acquisition in our country, and put forward the useful suggestions and improvement the.This dissertation is divided into four chapters as follows:The first chapter introduces the basic theory of cross-border M&A review system, discusses the significance, connotation, theoretical basis and the content classification of cross-border M&A.The second chapter introduces the content, characteristics, and legal basis of the antitrust review. And compare the content, development, current situation and characteristics of the antitrust review system of the United States, European Union and China, which provide a reference for our country to perfect the related system.The third chapter introduces legal basis and the international law basis of the national security review of cross-border M&A review system. Compared the developed country’s and our country’s standards and system construction.The fourth chapter discusses the reconstruction of cross-border M&A review system in China and perfecting the system construction proposal.
