With the deepening of China’s economic reform and the overall progress of the market economy, the social management innovation has become a major development strategy of the country. Social organizations are no longer just regarded as an object of management, but have been a main member of social governance and an equality partner of government.Shenzhen has made active exploration in the aspects of social management system, rationalized the relationship between the government and the society, the first to break the dual management system, and has initially formed a direct registration system of social organization, multi-regulatory system and a full range of social organizations support system. Society organizations in particular Shenzhen public interest groups, have established some cooperation relationship with government, and made progress in promoting public participation, public services and social welfare etc. However, there are obviously defect in Shenzhen public interest groups’participation in social governance, including their own ability to participate, the path to participate or the effect of participation, the role and impact is still quite limited.This paper is based on multi-center theory of governance, social organization theory and new institutionalism theory, makes empirical analysis on institutional environment, institutional dilemma, and institutional change of Shenzhen public interest groups’participation in social governance from angel of institution analysis, and gives a series of suggestions.This paper argues that the current China was in Social transformation, and social organizations have a great chance to grow up. Government reform, social needs and desires of their own development, promote social organizations’ participation in social governance. The key lies in strong and sophisticated institutional arrangements if we want to build win-win situation between government, social organizations and civil society. From a macro point of view, the institutional arrangements required to regulate the relationship between government and society, especially constraints the power of government; From the microscopic point of view, the institutional arrangements required to lead social organizations on the way to self-perfection by strict, fair and justicial legal system, especially to improve transparency and enhance the credibility.All in all, we hope that the social organizations will orderly develop so as to become a equality and trustworthy partner of government, which will help China cross "middle income trap".
