Since the reform and opening up, with the deepening of reform and development of economy and society, the reform of institutions is also in constant exploration. In 1996, the central organization committee issued the "about some problems of agency institution reform opinions", the institution reform has entered a stage of all-round advance. In March 23,2011, the CPC Central Committee and State Council "guidance on the classification of the reform of public institutions" (Zhong fa [2011]5, hereinafter referred to as the "opinions") formally issued, the reform of institutions began to promote, advance a clear reform of General principles of "government and institution separation, institution and corporation separation, management and operation separation". According to the "opinions", be in accordance with the existing social function is divided into administrative functions, engaged in operation activities and public services in three categories. Engaged in production and business activities, will gradually convert into corporation.Promoting profit-making institutions into corporation help to establish a socialist market economic system to adapt to meet the needs of public services; help to break the shackles of the old system, promote some traditional public utilities industrialization and socialization; help to bring into full play the basic role of market allocation of resources, so as to promote the coordinated development of economy and society.This paper reviews the progress of the reform of institutions in China, analyzes the current situation of the operational public institution of our country:as a result of institutional constraints, there are poor autonomy, the mechanism is not flexible, backward management level, market competition ability is weak and other defects; at the same time, hinder the formation of market mechanism of socialist China, destroy the market order of competition; in addition the units should belong to the enterprise, but in institutions exist, which are invisible in the increase of fiscal burden. Converting production and operation institutions to enterprises is imperative. The article also put forward countermeasures and suggestions about the assets, the property rights and personnel by analyzing the procedures and difficult analysis of the transformation. This paper takes a research and development category management institution -- S Research Institute as research object. Using the SWOT analysis, the theory of organization structure, human resource management theory as analysis tools, summarize the problems in strategic choice, organizational structure, compensation system, incentive mechanism and other aspects.By analyzing the advantages and opportunities, put forward the reform scheme to make up for weaknesses, restructuring plan to defeat the threat, and some countermeasures and suggestions for the choice of competitive strategy, organization structure remodeling, perfect salary and performance evaluation system, human resource training and development and so on. In order to help the management institutions achieve the transformation successfully and win in the competition.
