| The existence of an enterprise will inevitably face various risks. In these risks, legal risk is the one of the most extensive and influential risks. Does the CPA audit opinion from audit would consider the legal risks of listed company? Do the legal risks of arbitration of Litigation and punishment affect the audit pricing and audit opinions?The-significance of this study include:1. Based on the theoretical aspect, the differences compared with the previous studies of legal risks of listed company is that: previous study is Macroscopic perspective study, this study is a macro perspective study, this article is to study the real situation of legal risks of arbitration of Litigation and irregularities punishment from listed company.2 Based on the practical aspect, firstly, for companies, this study article can help listed company to kown and understand the legal risks, and this study also can help listed company to raise awareness of legal risk management and enhance legal risk management and prevention ability to timely effectively deal with legal risks; Furthermore, for the CPA, this study can improve the effectiveness of legal risk assessment of the audited listed company during auditing, it can evaluate the audit risk of irregularity company. At last, for the supervision department, this study will help to improve China’s supervision efficiency and promote the development of regulation in China’s securities market.This study consists of five chapters, content distribution is s follows:The first chapter is introduction. Includes four parts, it mainly describes the background and significance of topics, study logic and study contents, study methods and the framework and study innovation. The second chapter is the literature review of relevant study at home and abroad. This chapter theoretical analyzes from three aspects of theory, legal risk, legal risk and audit pricing theory, legal risk and the non-standard audit opinion theory. The fourth chapter is the empirical study. First proposed study hypothesis, Contains variable explanation, the choice of sample data, the establishment of empirical model. The empirical part includes the simple descriptive statistics, correlation analysis between variables, regression analysis of the empirical results and the robustness test to strengthen the conclusion credibility.
