With the continuous economic recovery after the financial crisis, the global marketfor foreign M&A became active, especially China’s future foreign M&A trend will stillgrow. On the other hand, being afraid of the hidden trouble brought by the foreignM&A, many foreign countries had already established complete foreign M&A reviewsystem on national security, while China had been in missing and blank in this area for along time.。The State Council and Ministry of Commerce of China promulgated on theestablishment of the foreign investors merge domestic enterprise security review systemand Implementation of the provisions of the foreign investors merge domestic enterprisesecurity review system respectively in2011, which, for the first time provided a clearvoice that China will build the foreign M&A review system on national security, andbrought some other problems that need us to do with in order to improve the foreignM&A review system on national security as well。The thesis mainly includes the following four sections: The first part of the paper,analyzed Huawei, ZTE "information security" case, and obtains the enlightenment,which leads to the topic. The second part has carried on the elaboration to the nationalsecurity review and foreign mergers and acquisitions, the connotation of the relatedconcepts and their relationship. The third part from the aspects of the legislative process,the content of the system, program mergers and acquisitions of national security reviewof foreign investment in the United States are introduced, and provide a reference basisto perfect the related system of our country. The fourth part reviews the defects ofChina’s current national security review system, and lists the legislative process, andthen puts forward five suggestions.
