At present, "separate supervision" is still the most important policy background in China’s financial industry. In parent company of Financial Holding Group’s, do not engage in specific business, but according to holding banking, securities, trust and other financial institutions, by different subsidiaries engaged in different kinds of financial business, that makes control of financial holding company has practical significance. On the other hand, in China,a lot of Financial Holding Group’s established belong to the government administrative orders, not autonomous behavior, so between parent and subsidiary companies only exist nominally the property bond, essentially did not enhance the corporation’s collaborative advantages and economies of scale. ZJ Financial Holdings as the state-owned enterprises in NanJing, is facing many problems, based on this, how to choose an appropriate control model and take proper means of control to achieve the subordinates to effectively control the subsidiary is the ZJ Financial Holdings worthy of further research on an important issue.In this paper, through the study of theory research, master the various factors involved in the selection of enterprise group management mode, and select two outstanding domestic and foreign financial holding group company as a case study, the two companies control mode is studied and analyzed, to explore the valuable content, combined with the actual development of ZJ Financial Holdings, through the analysis of the main on mode of control effect of ZJ Financial Holdings, designed by the external governance, internal governance and management control strategy and synergy control mode is composed of three parts, and then puts forward some solutions to control problems of the specific means and methods, and has strong operability, easy to solve practical problems, hoping to provide a reference and guidance for the similar problems of the financial holding company.
