Mergers and acquisitions are often used to implement reform and innovation,optimize the allocation of resources,so that enterprises can expand rapidly and achieve their strategic goals.Compared with the western developed countries, our countries’ enterprise overseas mergers and acquistions comes out late.The China’s "going out"strategy is formally proposedin2000.After China entry into the World Trade Organization (WTO),the pace of internationalization of Chinese enterprises significantly faster, and the amount of overseas mergers and acquisitions bigger."Going out" is just the first step in the internationalization of international.Face of the international market, Chinese enterprises should also be able to "walk in", only through "walk into" it can go further and fly higher.At last,our Chinese enterprises have a place in the global market competition.To "walk in" Chinese enterprises must do enemy and know yourself,not only to clear what they want, what overseas target enterprises have, but also the mergers and acquisitions can make acquisitions maximum synergies.The paper first introduces the concept of the overseas mergers and acquisitions, the basic theory of overseas acquisitions motivation and effect. Under the guidance of the basic theory, this paper in-depth studies the motivation and effect of mergers business in different times,industries and space.In this paper,the analysis of motivation and effect will be carried out in the case study of China Minmetals merges the Australia OZ company.Then the article conducts a more comprehensive analysis about motivation and effect in the case study of China Minmetals merges the Australia OZ company,aiming at making enterprises understand it more thoroughly and scientifically. So it can put forward the corresponding countermeasures for Chinese enterprises and effectively reducing the failure rate is high incidence of overseas mergers and acquisitions business.
