With the years of developing, the four finical Assets Management Corporations (AMC) have contributed much to the development of China national economy by making great success on dealing with the bad assets of State-owned commercial bank and improving reform of State-owned enterprises. The reorientation has been paid close attention by industry.At present, in order to turn into the large finical holding group, the AMC has set up several branch companies just like the security investment company and the trust company and so on, which means that the AMC have to face the tests from market directly. Effectiveness of internal risk control is closely related to the fortune of developing financial holding group, because of the complex internal transaction and the intricacy intricated finance flow, if one of the branch companies put a foot wrong, the other companies which were related to it firmly, even the parent company would get in trouble.Taking one of the four AMCs as an example, this paper puts forward the function orientation of by discussing the business and the risks, then proposes the solution which based on comprehension analysis of the capital management risk, the table management risk, the legal risk and assess risk.
