Study On Control Right Contention Problem From Equity Capital And Social Canital Perspective

In recent years, as the contention of controlling right events frequently happening in enterprises and the understanding of the control related problems becoming deeper and deeper, control right contention problem has been taken more and more seriously in the academia and the practice of enterprises. Through the literature review and theoretical analysis, based on the dual perspective of equity capital and social capital, this paper establishes a theoretical analysis framework, and gets some conclusions by studying on the twice events of the contention of company controlling right:contenders in the control right contention always build a network of equity capital and social capital, and continuously strengthen the control right of shareholders meeting, board of directors, management, staff layer, stakeholders in supply and marketing industry chain to achieve the ultimate control of the company. The key to get the ultimate control right is using the social capital, and cooperating it with the equity capital. The control getting through the social capital is much more broader and stronger, as well as more developmental. Control getting By social capital can be a good supplement to equity capital control right, and it can play a leading role in crucial moment in a control right contention.The paper totally has six parts. The first chapter is introduction. Elaborate the background, meaning, methods and basic structure of the research, and the main content of this paper as well as the innovation points.The second chapter is about the definitions and literature review. Define the key concepts involved in the paper, mainly including control right, equity capital and social capital. And review the related literature from the perspective of equity, social capital and control.The third chapter mainly discusses the control problems of the enterprise based on equity capital and social capital angle. Analyse the potential contenders in company, the motivation of the control right contention, the impact of gaining control by equity capital and social capital in theory. Based on this, the chapter puts forward the analytical framework of control right contention problem from equity and social capital angle.The fourth chapter is background review and motivation analysis of the control right contention in Nvc Lighting holding Ltd. Summarize the basic material of this company and the twice contention events for the beginning to end in2005and2012. And analyse the motivation of the contention in Nvc Lighting Holding Ltd.The fifth chapter is case analysis part.
