After years of reform, the current China, rural credit cooperatives are gradually completed shareholding reform or restructuring, transformation of rural commercial bank. Rural commercial bank has established the modern system of property rights,become the independent legal person qualification of Modern Corporation enterprise.Rural commercial banks have generally established in the general meeting of shareholders, board of directors, board of supervisors, the management as the main content of the "three governance structure with a layer of company, the shareholders of the general assembly as the supreme decision-making body of the bank, to the board of directors authorized the company responsible for the development and implementation of strategic and other major issues in decision-making; board of supervisors is supervision mechanism and the board of directorswere to exercise supervision and strategic decision power, the board of directors to the rural commercial bank management layer is responsible for daily operation and management. Rural commercial bank "three be" rights, obligationsandresponsibilities will alayerof clear framework preliminary arrangements. Decision right,management right and supervision right separate from each other, mutual supervision and restriction mechanism has been built. The board of directors, board of supervisors procedure, content, frequency and the rules of procedure system has been established, form document compliance with regulatory. However,China’s rural commercial bank, although in accordance with the requirements ofModern Corporation governance, formally established "three will be a layer of’management structure, but the actual effect is, whether corporate governancedefects, there are some problems worthy of attention. This study gathered from these problems, and based on the present status of rural business management of Banking Company in Hubei Province as the research object, try to through the relationship between corporate governance and bank performance analysis company, in order to improve the rural commercial Banking Company governance effectiveness, provide theory support and improve the performance of the bank.This paper not only with the traditional principal-agent theory and contract theory as the theoretical foundation, introduced the community theory and concession theory.This makes the theory foundation of the study more comprehensive, more rich, more sufficient theoretical basis. Also make the research results more theoretical value. In this paper, on the basis of theoretical analysis, discusses the special and effectivegovernance mechanism of rural commercial Banking Company, also the performance of rural commercial banks on corporate governance is studied. Especially in the rural commercial Banking Company in Hubei Province governance and performance for empirical research.Thought and methodology of the application system, analyzes the relationship between rural commercial Banking Company governance and performance, combined with the Rural Commercial Bank of Hubei province of the samples of the empirical research, to explore the mechanism of corporate governance influence the performance of commercial banks in rural areas. Finally, the results of theoretical analysis and empirical research, and puts forward relevant policy suggestions from two aspects of external and internal governance, to provide the necessary theoretical support and practical solutions, direction, measures to improve the rural commercialBanking Company management system and mechanism.
