In this paper, on the basis of the theory ofinternal control and risk management, starting from the five elements of the COSO report,the empirical study of the status quo of Shanghai SJ company internal control, the mainproblems, and analyzes its reason, in view of the company organizational structure is notadapt to the development needs and investment risk control is weak the two big risk points,from the company organization structure optimization, investment risk control two aspectsput forward concrete solutions. In this paper, combined with the actual situation of Shanghai SJ company and humanresources, using the matrix management model, innovation is proposed for completecoverage of functions, business local central system structure.
