Nowadays, faced with the economic globalization and Domino effect in the USsub-prime crisis, China economy is deep in the domestic trouble and foreign invasion.However, the “Twelfth Five-Year Plan" that is the key period of economic restructuring forChina and that is time of the depressive international environment, China’s enterprises, mostimportantly, should establish modern enterprise system and enhance the internal controlconstruction in order to smoothly pass through the “cold winter” and improve the capability inrisk control and adaptation to market variations. Corporate internal control like defenseumbrella, especially in the drastic changes of the international economic and various riskattack suddenly, it is not only the last firewall to reduce financial risk, operation risk andmarket risk, but also the indispensible medicine against corrupt and fraud.Firstly, this article does a systematic review of literature in the international anddomestic area. Secondly, it introduces current situation about the pharmaceutical corporationof B+L and figure out the deficiencies on internal control process. Based on the theory ofCOSO report and SOX Act, it presents the optimal design program for B+L Company’sinternal control via five components of COSO. Finally, it propounds the implement andsafeguard measure for this optimal design program. I hope this suggestion could improve theinternal control level for B+L Company, and can use it as a reference and guide for ourenterprises, particularly for the pharmaceutical corporation.
