The theme of this paper is the corporate governance structure of China’s state-owned commercial banks, my paper use of method of comparative analysis,including horizontal comparison and longitudinal comparison. Firstly, by longitudinal comparison of the different stages of the development of China’s major state-owned commercial banks,I find the main problems in governance structure of china’s state-owned commercial banks. Secondly, through the horizontal comparison of two typical model of corporate governance of modern commercial banks, the Anglo-American model and the German-Japanese model, we got some inspiration and reference to the corporate governance of state-owned commercial banks in China. In the following, I use of empirical methods to prove the necessity of perfecting state-owned commercial bank’s corporate governance structure. Finally, I give some policy recommendations to improve the corporate governance structure of China’s state-owned commercial banks,which is based on the experience and empirical analysis.This article has some new ideas on improving the governance structure of China’s state-owned commercial banks, the paper argues that the problem of property rights is the root of corporate governance, at this stage, the Ministry of Finance also have a high proportion in the shareholding structure of China’s state-owned commercial banks, It is necessary to dilute the equity share of the Ministry of Finance if we really want to solve the problem of property rights dummy. In the way to solve this problem,we need to learn from Singapore’s Temasek model, which was a great success and will give a lot of reference to solve the problem of property rights dummy in China’s state-owned commercial bank.
