In recent years, the rural economy of Tongliao City has made significant changes. The contradiction between the demand of capital for modernization of agriculture and rural finance institutions can’t effectively provide financial supply is growing. And the problem accumulated long-term of rural credit cooperatives has made the adaptability to the reality of rural financial environment getting worse. Its sustainable development is also facing a larger problem. Timely,The financial sector of Tongliao municipal government draw up a financial sector development plan according to the request Of-12th Five-Year Plan" of Tongliao City. The restructuring of rural credit cooperatives is one of it. Based on this background, this article studies the problems of the restructuring of rural credit cooperatives to provide a theoretical reference for the restructuring of rural credit cooperatives.This paper follows the traditional writing ideas that questions finding-the analysis of the problem-to solve the problem. Firstly it analyses the current situation of rural credit cooperatives (Problems, obstacles). Whereby study the final choose ofp roperty rights model. Finally, learn from the successful experience at home and abroad and Put forward relevant measures. The paper mainly uses research methods that normative analysis combined empirical analysis, quantitative analysis combined qualitative analysis. Draw the key conclusion that Joint-stock commercial bank is the best property rights model for the restructuring of rural credit cooperatives in Tongliao City.The first part of this article is asking questions. The article first summarizes the characteristics of the Institutional Change of the restructuring of ruralcre dit cooperatives to follow the inheritance and overcome the path dependence during the institutional Change. The third part is to solve the problem and propose measures on the basis of experiences. There have typical of success about Rural Cooperative Finance in developed countries. In Europe, the United Kingdom, Germany, France; The United States, the Americas; Asia, Japan, etc. they have quite successful experience in the practice of rural cooperative financial. This paper mainly analysis the rural cooperative financial practice of Germany, the United States and Japan in order to sum up the experience. By comparison with the local conditions of Tongliao Region, draw revelation for the restructuring of rural cooperative financial in Tongliao City. They are mainly:To have a re-understanding on cooperative and joint-stock; To fully understand the resistance to the restructuring and implement step-by-step based on the realities; The reform of property rights is a top priority; Implement bankruptcy constraint and risk prevention mechanism.B y the end, proposed measures for the restructuring from property rights reform, the environment of rural finance, corporate governance and other aspects.
