With the development of our country’s market-economy and the deepening of theforeign economic opening, the important role and status of the small andmedium-sized enterprises in the national economy development has becomeincreasingly significant after more than30years of development. According tostatistics the number of the small and medium-sized enterprises has accounted formore than99%of the total number and the final product and service value created bythem is equivalent to about60%of GDP, what’s more, they provide80%of jobs inurban.In a word, the small and medium-sized enterprise play an important role in allaspects, such as the prosperity of economy, expanding employment, increasingtaxation and promote innovation. But at present the small and medium-sizedenterprises in our country are confronted with various difficulties,and the one of themost prominent is that they have problem in financing.That is to say, they are lack ofenough money to become bigger and stronger. And money becomes a bigproblem in the development of small and medium enterprises. Taking this problem asthe research object, this paper hopes to provide some suggestions to solve thefinancing problem.This paper consists of six parts. The first chapter mainly summarizes thebackground, significance and the latest research results etc... In the field of the smalland medium-sized enterprises’ finance, The second chapter mainly introduces how todefine the small and medium-sized enterprises around the world. As well as theimportance of them in society. In this chapter the author takes the USA, Germany andJapan as representatives, to introduce how to divide the small and medium-sizedenterprises in the countries, at the same time, make an introduction of severaldefinitions of the small and medium-sized enterprises in China after the founding ofthe People’s Republic of China. In addition, the important role played by the smalland medium-sized enterprises in illustrated in this chapter. In the third chapter the basic theory of financing is introduced, including thedefinition, significance, classification of finance. What’s more, this part also makes anintroduction about the problems in the process of enterprises’ finance from differentaspects, including poor enterprise internal financing ability, immature capital market,difficult bank loans and complex folk lending.The fourth part makes an analysis about the reasons for the difficulty ofenterprise financing in our country at present, moreover, find out the legal problemsfrom all aspects.The fifth chapter puts forward some suggestions and views from the legal levelfrom different aspects, including the enterprise internal financing, direct financing,indirect financing and private lending and so on. After above analysis and introductionin former chapters, hoping to provide some help to solve the problems of finance inthe small and medium-sized countries.
