Supervisory Board System plays an important role in company’sdevelopment. However, in our country’s practice, this system’s function hasnot been fully shown. Due to the failure of company’s supervisors, how toperfect the system of board of supervisors becomes an urgent topic. Thisarticle will study these issues and hope to get some solutions.This paper includes the following parts: in the first part, the author givesa case which elaborates for the failure of company’s supervisors, the system ofboard of supervisors has not perfect fully.Then the second part, the third part and the forth part make empiricalanalysis on this issue, and the author continues to analyze these reasons.What’s more, the author mainly refers to western countries’ legislation, tries toget some ideas on their enlightenment to our legislation.In the fifth part, the author gives an overview of China’s board ofsupervisor’s system operation, and puts forward some legislative proposalsupon the re-construction of China’s board of supervisors system.At last, the author will summary the views and comes to a conclusion. |
