There has been a history of one thousand years on the exchanges be-tween China and Thailand. With frequent exchanges and deep friendship, both countries are good neighbors, relatives, friends and partners. The governments and the people of the two countries have undertaken mutual trust, beneficial cooperation and common development. They have established profound trust on each other, which is represented by not only the politically mutual trust but also the economic reciprocity. The relationship between China and Thailand has become a model of peaceful coexistence among countries of different so-cial systems.In recent years, China’s economy witnesses a rapid development and the trade with Thailand has increased in a wide range of business. The types of ex-change goods develop and thus trading forms become complex and cumber-some. In order to avoid any disputes arising from the trade between two sides, the contract text on Sino-Thai trade has become an essential trade document as well as a trading agreement with internationally legal effect.Sino-Thai trade contracts have many kinds in a broad range, which in-clude the oral contract form at the beginning and the current written contract form There is a variety of forms with multiple schematic structures:contracts in broad and narrow senses which constitute legal documents with binding or non-binding power as well as formal and informal contracts. Sino-Thai trade contracts, in a narrow sense, can be considered as a formal text of contract es-tablished in writing, which has not only a unique schematic structure but also dedicated business sentences and vocabulary, general and special terms as well as legal terms, accounting terms, bank jargon and insurance terms with profes-sional, practical and culturally communicative natures. This paper is divided into six chapters. Chapter1describes the origin of text, the significance and the objective of research, the overall trade status be-tween China and Thailand in recent years, the basic status of Sino-Thai trade at present, common types of Sino-Thai trade contracts as well as types and con-tent of the common trading contracts. Chapter2describes the overall text and schematic structure of Sino-Thai trade contracts in narrow sense, cover, table, content framework of Sino-Thai trade contracts, preface, body and ending of contracts, general terms of the contract and the other special terms in the text structure of Sino-Thai trade contracts. Chapter3explains the basic schematic structure, the necessary clause and unnecessary clause in the preface, body and ending of Sino-Thai trade contracts in narrow sense. Chapter4studies the schematic structure, oral and written forms, types, meanings, foundation ele-ments of Sino-Thai trade contracts in broad sense. Chapter5describes the commonly used terms and sentence patterns in the preface, body and ending of Sino-Thai trade contracts. The last Chapter summarizes the main points of the full paper, describes the work in near future and proposes several suggestions on international Chinese teaching (Business Chinese teaching). Meanwhile, in order to reduce the cost and time of businessmen on Sino-Thai trade and em-brace the complete establishment of2015China-ASEAN Free Trade Area in2015, a template of Sino-Thai trade contract both in Chinese and Thai contrast has been designed in this paper.
