The English version of Company Law of PRC and its judicialinterpretation are translated text of the Company Law of PRC, TheProvisions of the Supreme People’s Court on Some Issues about theApplication of the Company Law of the People’s Republic of China (Ⅰ)and (Ⅱ)(hereinafter referred to as "the Company Law"). The translatedtext hereof was from the relevant document released by the Ministry ofCommerce.Company Law plays an important part in deepening China’senterprise reform. It makes great contribution to standardize the activitiesof companies, protecting the rights and interests of companies,shareholders and creditors, and keeping social-economic order.Meanwhile, the English version of Company Law not only encourageseconomic exchange between China and foreign countries, but alsoimproves foreign investor’s acquaintance with China’s legal system andmodern enterprise system so as to attract foreign investment andstrengthen Sino-foreign cooperation.Ever since China enters into the WTO, an increasing number of legaldocuments will be translated into English and introduced to the world.However, merits and deficiencies still can be detected in the translated text. Under such circumstances, this dissertation is attempted to offersome opinion over the standard of legal document translation.The dissertation consists of three chapters.Chapter one is a brief introduction to the initial background and thegeneral content of Company Law, most importantly, its importance andsignificance of the English version.Chapter two offers an analysis on the standard of the legalTranslation, the first half deals with stylistic and linguistic features oflegal English. The second half proposes the evaluation criterion for theEnglish version of Company Law:"correspondence in meaning andsimilarity in function"Chapter three gives a thorough investigation on the merits anddemerits of the English version of the Company Law.Conclusion is reached in the end. Meaning and function areintrinsic features of any kind of text, including legal documents. They areinseparable and dependent onto each other. Finally, the writer hopes thatthe criterion of "correspondence in meaning and similarity in function"will contributed to the improvement of legal document translation inChina.
