In recent years, the debate between the family of Huang Guangyu and the managementof GOME whose led by Chen Xiao for the driver’s seat had been brought to media andsocial’s widely attentions. This event also had brought about an extensive debate by theinternet users, the academic domain of scholars and the experts who researching company law.Public opinions are divergent, almost everyone has their own analysis and view, the influenceis self-evident naturally. Why did this event happen? In the growing process of familybusiness that milepost sense has in the case, what should cause us is thoughtful.Based on the case of GOME, the essay is divided into three parts on the governancemodel of family enterprise transformation were studied:The first part: Paper Preface. In this part, there are some introductions about thebackground of the thesis.The second part: Paper text. There are four chapters in this part.Chapter one: mainly review the development process of GOME events. This chapterintroduces the struggle for control of the GOME event’s process in detail firstly, and makes alegal analysis for the problems which reflects on the family enterprise from the event.Chapter two: mainly on family enterprise is defined. This chapter first expounds theconcept of family enterprises, and then introduces the characteristics of the family enterprisesin China, and finally analyses the current situations and existing problems in Chinese familybusiness.Chapter three: mainly introduce the family business governance and corporategovernance mode and related concepts. This chapter is compared with the different views ofcorporate governance between the economic circle and law firstly, and then introduces theChinese family business governance modes in the evolution of the course and the futuredevelopment trend of the family enterprise management.Chapter four: introduces the governance model of family enterprise change proposal.This chapter for the family business in the development to a particular stage after facingdifficulties, and put forward my own views and suggestions from the internal and externaltwo aspects.The third part: conclusion. Mainly introduces the GOME as a typical of Chinese familyenterprises in the growth process still face great difficulty, we need from the internal governance structure and external management environment in two aspects to set out toefforts to promote the healthy development of family enterprises. |
