Since2006, the legal status of one-man company has been formallyrecognized in the “Company Law”. During these years, the rapiddevelopment of one-man company has become an economic phenomenon whichcan not be ignored. Undeniably, the legalization of one-man companyconforms to the legislative trends of the world. However, the rapiddevelopment of one-man company is a double-edged sword. Besides thebenefits and advantages, it also brings a series of problems which resultin a negative impact.From these problems, the inadequacies of the current legal systemcould be found accordingly. From analyzing these legal deficiencies，afurther study can be made on which the regulation of one-man company canbe more efficient and perfect. The improvement of present legislativesituation of one-man company can be greatly significant because it cannot only regulate the behavior of one-man company and protect the interestof relative dealer, but it can also eliminate the factors which is harmfulto the development of economy. Additionally, it contributes to theformation of fair market and construction of harmonious society.Combined with China’s current basic national conditions, economicrealities and market environment, the improvement of the legal regulationof one-man company can be divided into five parts: Firstly, cleardisciplinary measures for behavior of establishing one-man companyillegally should be set.In addition, stakeholders should be given theright to request the court to dissolve the illegally-established one-mancompany under certain circumstances. Secondly, the reform of register andpublicity institution of one-man company should be conducted; Thirdly,Improving the information disclosure system after the establishment ofone-man company; Fourthly, Enhancing operability of “piercing the Corporation’s Veil system” of one-man company; Finally, Acceleratingthe construction of credit legislation and credit system of one-mancompany.
