Large Retail Business Associated Contract Law Regulation Research

Retailers and suppliers are the most important steps in the value creative process of supply chain. With the development of China’s market economy, the position of trading between retailers and suppliers always keeps changing. At the moment, the retailers occupy the dominant position. The conflict has become intensified because of some retailers abusing their domination position which will lead to some serious problems. The contradiction of the retailers and suppliers not only causes the unhealthy progress in retail business, but also damage the customers’ interests.To improve the legal system of the retailer-supplier relationship and create a sound and harmonious and legal environment, from the joint venture contract between retailers and suppliers viewpoint, research on the legal regulation of the joint venture contract in large retail business, in order to find the proper way of relieve the contradiction of the retailer and supplier, at last propose a win-win solution that retailer and supplier should develop partnership.This passage is divided into four parts. The first part elaborates the characteristic of the joint venture contract in large retail business, and the necessity of the legal regulation, which introduce the fact of contradiction of the retailer and supplier, and the importance of the legal regulation, as well as the nature of the joint venture contract in retail business. The second part investigates the factors of the joint venture contract in large retail business; make a concrete analysis of the contradiction of the retailer and supplier from the contract content. The third part investigates the facts and the legal regulation from three sides "standard clauses, portrait market dominant position, abuse domination position". The fourth part investigates the legal regulation in other countries and region, provides the author’s own suggestions on how to regulate the joint venture contract in large retail business.
