Since the Groupon-style network group purchase occurred, it raises alot of consumption disputes and legal risk problems. This paper focus onthe legal relationship of website, merchant and consume, identify thewebsite operator as the transaction entities, clarify the Groupon-stylewebsite operator’s obligation of information disclosure, and then poseregulatory ideas for regulatory the Groupon-style network group purchaselegal issues.This paper has five chapters. In the chapter1, it explore the basiclegal relationship of the Groupon-style network group purchase,illustrated by the case of the “MeiTuan&DQ group purchase invalidevents”, to define the legal relationship of the Groupon-style website,merchant and consumer.In the chapter2, it gives the analysis path of this paper, byoverviewing related documents. It divides the network transaction intodirect transaction pattern and indirect transaction pattern, if the website operator as the transaction entities or not. And then this paper focus thatclarify another transaction entities relative to consumer, is the key ofanalysising the legal relationship of website operator, merchant andconsumer.In the chapter3, firstly it outlines the development of network grouppurchase and the group purchase websites, and defines Groupon-stylenetwork group purchase. Secondly, it thinks the transaction entities ofGroupon-style network group purchase should be the website operatorand the consumer by assessing the nature of the Groupon-style networkgroup purchase offeror and the Electronic ticket’s securities function. Atlast, it will combine the behavior of Groupon-style website deliveringelectronic ticket and merchant’s membership cards in the marketplaceearlier. This paper conclude that, virtually the Groupon-style websiteoperator is retailer who intermediates between the merchants and theconsumers to deliver pre-paid consumption service. By the awareness ofthis common feature, this passage provides a new perspective to regulatelegal problem of the Groupon-style network group purchase.In the chapter4, the legal analysis of the trade relationship in theGroupon-style network group purchase is actually includes confirmingthese two process, clarifying the transaction entities and the obligation ofissuing information. The former confirms the direct exchange relationshipof the website operator and the consumer. The later requires the website operator to define their rights, obligations and responsibilities with themerchants, so that we can clarify the legal relationship between thewebsite operator and the merchant.In the chapter5, as a conclusion. The whole point of a systemsummary, also pointed out the shortcomings of this study.
