This paper aims at the analysis of land value and function and the interests of every subject. On the one hand, it analyses the subject its own interests demand and land value and function cannot satisfy the dilemma between each main body. On the other hand,when inspects the mortgage trial practices which are in consideration by the local government, this paper defines the mortgage pilot "false mortgage", and then put forward to establishment a real family contracted mortgage system,with the principle of to balance their interests, the paper puts forward four aspects of the balance mechanism of benefits, first,with the law-system of internal support as the core, define right to contract for rural land as a real property; Second,with the system of the implementation of the external market as the condition, cultivate and develop the land market; Third, with the system of regional development as the background, face up to the role the government and policy function again; Fourth,with the implementation of the system of risk control as the guarantee, perfect the mortgage of the contracted management of land supervision mechanism.
