In recent years, the internal control of listed companies is one of attention in the Academia. With a series of financial violations of domestic and foreign, regulators and investors to focus on how to establish sound and effective internal control system. The United States from2002mandatory for listed companies to disclose internal control attestation report, however, so far, China's regulatory agencies only for IPO companies have mandatory disclosure of internal control attestation report of other listed companies to disclose internal control attestation report not mandatory requirements, and still belong to the scope of voluntary disclosure, but from2007, China still has a number of listed companies to voluntarily disclose internal control attestation report, and the disclosure of the increasing number of companies. Internal control is the management activities of the company's response is a private, internal control disclosure of information will improve the company's risk and cost, therefore, the listed companies to disclose the motives of internal control attestation report can be judged within the company overall control operation, provide useful information for the regulatory authorities, to protect the interests of investors and creditors, has great significance for strengthening internal control and management.On the basis of theoretical analysis, combined with the background of China's internal control system of information disclosure。This article build voluntary disclosure of the system of internal control attestation report from the perspective of corporate governance, firm characteristics, the performance of the company, and refinancing needs。And select1071sample companies in Shanghai and Shenzhen A-share board market from2008to2010, using regression analysis on the sample companies to voluntarily disclose the motives of the internal control attestation report an empirical study. The conclusion from the analysis is that the voluntary disclosure of the auditor's internal control reports is related to the shareholding concentration, the mechanism of internal audition, the size of company, profitability, growth and refinancing demand. It is also negatively related to the proportion of managerial ownership, listed years and financial leverage. Based on the conclusions of this study, We should strengthen internal control regulation and improve the company's internal control system to "Built to Last" of company.
