M & A activity is not only an important form of corporate capital operation, but also an important measure of corporate strategic investment, and the tax factors which run through M & A activity can not be ignored, reasonable and effective tax planning can reduce acquisition costs and will help to realize the enterprises'value. In today's booming development of M & A market, tax planning becomes a powerful tool for decision-making. Study on M & A tax planning of Listed Companies in China is designed to help companies in M & A activities legally, scientifically and comprehensively carry out tax planning, considering the business impact of various factors, adequate related to use of national tax policy, tax planning by the policy space, to avoid unnecessary expenditure and form, increasing the probability of success and form.In this paper, M & A activities of Chinese listed companies, the combination of theory and practice using the method described in the full M & A and the theory of tax planning and M & A in China associated with the current tax policy, based on the system analysis of various aspects of Listed Companies in China's tax burden and related tax planning strategies, with specific case studies M & A analysis, the theory and practice combine to make the article more convincing. This article is divided into six parts, of which the first three chapters of some of the theoretical explanations, fourth, fifth part is the core of the article, as follows:The first part is an introduction. Focuses on M & A tax planning of the research background, purpose and significance of research status, content and ideas, and research methods.The second part of tax planning and M & A overview. Includes three sections, namely, the basic theory of corporate mergers and acquisitions, tax planning and business acquisition and the theory of the relationship between tax planning. M & A in the basic theory, focuses on mergers and acquisitions in the definition, types and restructuring process in the theory of tax planning, tax planning focuses on the meaning, principles and methods, the relationship between the two, mainly to enterprises M & A tax incentives and tax planning for mergers and acquisitions for the feasibility analysis.The third part is our tax policy analysis of mergers and acquisitions. Including Chinese M & A Policy Analysis of turnover tax and corporate income tax policy analysis of mergers and acquisitions.The fourth part is of M & A tax planning program. According to China's listed companies in M & A tax planning program and the tax planning process steps, the M & A tax planning is divided into five main areas. Objects were selected acquisitions tax planning, M & A payment of tax planning, tax planning for mergers and acquisitions financing, merger and acquisition accounting and tax planning tax planning post-merger integration. Points for each different phase of the tax planning are combined with specific case studies of different companies take advantage of tax incentives for tax planning.The fifth part is mergers and acquisitions of listed companies in tax planning in case the actual application.The sixth part is the conclusion of the paper.
