In recent years, along with the rapid economic growth and state-owned economic layout and structure of the strategic adjustment for further deepening, speeding up large state-owned enterprises reforms, especially for its asset reorganization, is still an important work. This thesis mainly studies that the theory and practice of assets restructuring of our large state-owned listed companies. From asset restructuring of concepts and theories, using induction, based on the analysis of the typical case, this paper discusses the problems of our large state-owned listed companies'asset restructuring. From microcosmic level to the medium level then to the macroscopic level, this paper summarizes the assets restructuring to its own industry, even the whole social economic effect and proposes suit development direction and countermeasure for assets restructuring of our large state-owned listed companies. We can draw an important conclusion that large state-owned listed companies'asset restructuring is an effective way of market resource allocation. In many cases, asset restructuring can create incremental value for the enterprise. Even if it is not for the company to bring value, in new market environment, asset restructuring can also make the contribution for market prosperity and the solid foundation. Based on the "2010 NPC and CPPCC spirit" and central enterprises'the 12th five-year-plan scheme and development strategy, this paper analyses 5 models of assets restructuring of large state-owned listed companies in China, and points out that large state-owned listed companies should be not only bigger and stronger but also better and stronger through restructuring. It emphasizes the importance of supervision, so that promotes technological resources integration and upgrades enterprise's core competitive power, and achieves economy of scale.
