Company Judicial Dissolution System Research

Company Judicial dissolution is an important law on the rights of a shareholder relieves system. The company should be Judicial dissolution by the pepole's court in case of the company's significant operating difficulties, major damages or deadlocks between directors and shareholders. It's a mature system in dissolution legislation in other countries .However, the article is so generalizing and procedure are various among the people's courts. In this paper, we use the comparison analysis method and semanteme analysis method to analysis the theories of judicial dissolution. The purpose of this paper is to provide some ideas which would accelerate the fulfillment and practice of Company Law for the localization and practice of judicial dissolution system in our country through the studying of foreign related legislation.
