In a sense, in the current market economy conditions, cooperatives is a way to complete the modern enterprise system, which will be played a small, loosely organized and the property dealers to improve the efficiency of resource allocation against market is strong and the main body of the unilateral monopoly role.Since the 90s of last century, with China's agricultural industry, the implementation of business strategy, farmers cooperative system has been intentioned and developed. However, due to decentralized management farmers market competition in the vulnerable groups, agriculture, but also has 'natural' in a weak nature of the professional farmers' cooperatives, therefore this "weak association" also has a weak nature. At the same time, farmers groups, whose educational level is generally low, management capacity and a lack of legal awareness and much more. In this context, the professional farmers cooperatives to achieve a "voluntary association, democratic management" and made "service members, to participate in market competition" is difficult in practice there. Therefore, the article from the norms of professional farmers cooperatives in internal management and operation of competitive conduct to protect the farmer specialized cooperatives healthy, orderly, long-term development perspective of co-operatives of farmers within the legal issues of professional conduct systematic and in-depth exploration of, and try to build from which are consistent with market economic principles that operate within the law legal system.This study consists of three elements:In the first part, it talks about the professional farmers cooperatives legal system:on the basis of defining the professional farmers cooperatives in the corporate property and corporate types, discussing the professional farmers cooperative economic entities with the relevant similarities and differences, and followed by specialized cooperatives for farmers within the composition of the legal system and the internal governance of the theoretical basis for discussion started.In the second part, the professional farmers cooperative system of property rights, financial management and distribution systems analysis.
