With BOT financing put forward by Egael, premier of Turkey in 1984 .BOT and the evolving forms used has been widely, and make great contribution to construction of infrastructure and public projects.Economic development begins with construction of infrastructure. At present, GMS has become the hot investment place of world competition. Therefore, it is necessary to explore a kind of financing mode to suit for the development of the infrastructure in the region.TOT-BOT mode is to combine TOT and BOT financing mode, but on the basis of BOT. Implementation of TOT is auxiliary, the design is to consider completion of BOT. TOT-BOT has the virtues of the two financing way, and overcomes the flaws respectively. TOT activate fixed assets, increment instead of deposit amount, the future income can be drawn once;government put funds of TOT into partial funds as BOT project company's shares, attract amount of private capital (including foreign funds) by little state-owned capital. Government with project's share not only has benefit but also can avoid the control for BOT project company of government during concession period. TOT makes Project Company get income from the beginning of BOT concession period. Future stead cash flow makes it easy to finance for BOT project company;At first, the dissertation introduces basic theories and application current situation both at home and abroad of BOT and TOT financing mode, and puts forward theory of TOT-BOT combination mode, meanwhile it does analysis of the electric market of the Greater Mekong Sub-region closely, points out the feasibility of TOT-BOT project financing mode used in this area;and then deeply analyzes several key problems of TOT-BOT combination mode, including the risk forms and management measures, government role of TOT-BOT mode in the sub-region, pertinently puts forward the conforming method of TOT power plant concession period and concession value, and point out some question of project post-assessment and extension tactics and summarizes successful factor of adopting TOT-BOT combination mode in GMS. Finally, it is the study conclusion and adaptation prospect. All in all, it is feasible for power industry in GMS to adopting TOT-BOT financing mode.
