The talents are not only the soul of the enterprises, but also the foundation for business development. Establishing good talents incentive mechanism will be the important condition for the correct talents employment and exerting the function of talents sufficiently.Since the reformation of China whether the stage of decentralization allowing more profits and transformation of profit to tax during the early period of state-owned enterprise reform, or the latter stage of contracted operation and mechanism conversion, we have endeavored to mobilize the enthusiasm of the talents. However, no ideal effect can be achieved all the while. Looking for and setting up an efficient talents incentive mechanism are not only the core problem concerned by modern enterprise reform, but also a very important and urgent task confronted by the current reform deepening and promoting development of state owned enterprises. That is the investigation purpose of the paper.The paper is based on Marxian talents theory, west staff stimulation and people investment theory. Firstly, the paper will analyze the existent problems within the talents incentive mechanism. Insufficient incentive intensity , undiversified incentive method, strengthening short term incentive but lacking long term incentive, non-standard incentive method and unsound incentive mechanism are the common problems existing within the domestic enterprise talents incentive mechanism establishment. On the basis of the above paragraph, the paper systematically presents the system mode and basic principal of talents incentive mechanism for state-owned enterprises, including the inner and outer system establishment of the talents incentive mechanism in the state-owned enterprise.Facing the high speed development of global information economy currently, the impacts of human capital and marginal benefit of modern enterprises are becoming increasingly significant. The paper intends to give out some advises about the talents incentive mechanism in the state-owned enterprise, which possessed a certain creativity value and also made some theoretical explorations for discussion subsequently.
