It is well known that the vast majority of Chinese listed companies are state-owned enterprises. Because of the existence of"owner absent from their duties"and"internal control", the efficiency of enterprises has been poor and the operation is difficult.During this process, more and more decision makers realize that the establishment of effective corporate governance is the micro-foundation of an orderly and efficient modern market economy system. It is also the assurance of corporate development as well as the critical mechanism of promoting the maximize value for listed company and of balancing the interests of all parties. The government has clearly defined corporate governance structure is the core of the company system. Under this circumstance, it is very meaningful to select the significant factors that affect company performance (or value) through empirical research after absorbing the outstanding research achievements of predecessors.The thesis is divided into four chapters. The first chapter mainly introduces the background, significance and the research clue of the thesis. Chapter two summarizes the research of the relationship between corporate governance and corporate value. It discusses the impact of corporate governance on the external environment, capital structure, ownership structure, the governance will, as well as board size, board composition, the CEO as Chairman of the Boar on corporate value. With the aid of Chinese listed corporate data, Chapter three makes empirical research on the impact of corporate governance on corporate value, and draws some meaningful conclusions.
