Internal control development has always been based on consideration of corporate governance, in which the role of corporate governance can’t be ignored,while the internal control’s completion and implement, especially need financial statements to be real and effective, is important to the participants and supervisors,they are the firms’ financial staffs and auditors, the relationship of them related to the effect of internal control in the corporate governance. The financial staffs and auditors influence corporate governance quality to some extent, and it is accepted by academic and practice fields, because of the lack of financial staffs’ data and disunity of quantitative index, the research literature is still not good enough. With the building of the audit committee and internal control’s goal-oriented, they’ve become more and more clear, based on this, we use audit committees’ scale and financial staffs’ scale as two factor which influence internal control. Based on the data from 2012-2014 in Chinese A-share companies’ internal control information, while we use DIB to measure internal control, explaining variables come from the annual report and CSMAR, control variables come from CSMAR and WIND, we combine global literature and models to establish the empirical model, in order to examine the relationship between the two and the quality of internal control.Inferred from the theory point of view, between financial officers, the audit committee staff and quality of internal control, the more staffs take place in financial and audit committee, the more degree of attention to corporate internal control, the bigger of supervision strength, the higher quality of internal control will be, while the size of the staff from the relevant theory, that the scale theory, organization theory, the size of certain personnel development organization has a positive effect on the organization, Based on this theory derived by empirical financial staff size, staff size and the internal audit committee to control the quality of the positive correlation,(1)the company’s financial staff size and quality of internal control have a positive relationship.(2) The Audit committee size and quality of internal control have apositive relationship.Conclusions of this study only examined the impact of current internal controls which disclosed by large-scale financial officers report, the Audit committee staff size and quality of internal control correlation relationship, but with the adjustment of staffing needs of internal controls, as well as other difficult to quantify factors, the relationship between staff size and quality of internal control related to the study of whether an inverted U-shaped conclusion, the paper did not make test.
