Urban villages have epitomized the difference and contradiction of the dual structure in urban and rural economy in the process of urbanization. The transformation of urban villages go ahead like wildfire in many cities in China. As the crucial link of the transformation, the reform of collective economic organizations in urban villages has a direct bearing on the vital interests of the dwellers, as well as the development of transformation work and the final achievements. System-reforming enterprises in urban villages represent the reform of collective economic organizations and thus have a great contribution to the promotion of the collective economy and the improvement of the dwellers'welfare. However, quite a few problems have emerged in the practice of the reform. The route selection is also waiting for serious discussion. This paper has made a systematic study on the system-reforming enterprises in urban villages. Special attention has been paid on the route selection and improvement of the law. The paper consists of three parts. The first part analyses the cause of urban villages, briefly introduces the transformation of urban villages and traces the development of system-reforming enterprises in urban villages. Through careful analysis and comparison on three kinds of system-reforming enterprises in urban villages, the second part points out that the system of stock company is an inevitable choice. The third part makes a research on enterprises in urban villages, especially the system establishment, capital system, management structure, capital monitor and so on. Through careful study, the weakness is put forward and suggestions are made on the improvement of the legal system.
