Antimonopoly Control Of A Business Combination Is A Comparative Study

Standardizing enterprise amalgamation is one of the most important part of the Anti-Monopoly Law, to which countries of all world pay more attention, according to the development circumstances of market-oriented economy. Although enterprise amalgamation has positive meaning, it sometimes leads to the result of limiting competition so that different countries adpot different attitudes to enterprise amalgamation, mainly standardizing those which limit competition and hinder development of market-oriented economy. So it's important that countries of all world standardize substantial standard of enterprise amalgamation in the Anti-Monopoly Law, at the same time, it shows that one country chooses adpoting attitude between indulgence and strictness on enterprise amalgamation. To the problems of declaration standard and investigation period during the standardizing procedure of enterprise amalgamation, from the aspect of raising ecnomic efficiency, developed countries give difinite regulations to their legislations.This paper uses dicussing method of comparison and analysis on law, analysing basic theory of enterprise amalgamation, reaching conclusion by means of the enterprise amalgamation contents on the Anti-Monopoly Law of the main developed countries. According to those, this paper discusses the contents of enterprise amalgamation in the Anti-Monopoly Law of our country, which are about to make a public appearance, and propose the suggestion on improving related legislation.
