The emergence of corporate social responsibility is not imagining, butthe product of certain social conditions, and it is a future trend that thecorporation develops, too. It is that the development of the market economyand the process of globalization intensifying make corporate economicstrength growing, and corporation affects every aspect of economic life, andfurther permeates into every comer of the politics,science,technology,education,culture and so on. But, Corporation plays a great role as well asleads to social problems that can not be ignored, such as pollution,productquality,food safety,trade monopoly,consumer fraud,violating the rightsand interests of laborers and so on. These all make people have lower andlower confidence and evaluation on corporation. Beginning with defects inthe vehicles, the problem of drags,cosmetics and food, all goods arereviewed with suspicion by the consumers, today. So, the theory of thetraditional purpose of corporation, or, the sole purpose of corporation is tomaximize profits for shareholders, is questioned, and corporation shouldalso bear social responsibility besides the goal of making profits.Corporate social responsibility originated in the United States. Thefamous debate between Adof A.Berle, Jr. and E.Merrick Dodd, Jr. happenedin the Unite States. Along with the debate on corporate social responsibility,the United States began to formulate laws of the relevant areas. The UnitedStates set off a wave of the amendments of the corporate law in more than20 states headed to Pennsylvania. Similarly, corporate social responsibilitymovements happened in Britain,Germany,the International Communityand Industrialists. Through reviewing the historical background and themeaning of the corporate social responsibility, and through analyzing thelegitimacy of the corporate social responsibility and inspecting andanalyzing the theories and practices of the corporate social responsibility inthe United States,Britain,Germany,the International Community andIndustrialists, this paper further deeply understands the corporate socialresponsibility, and further consummates related stipulation of corporatesocial responsibility in China in order to better realize corporate socialresponsibility in practices and better realize society's harmony and sustainable development.The whole paper divides three parts, and the words amount to 35,000,the main content as follows:Introductory remarks. This part mainly makes brief outline about thefunction of corporation in the social life and a series of serious socialproblems that corporation initiates. Then, this part proposes question ofcorporate social responsibility.Part one, basic theory of corporate social responsibility. This partmainly elaborates historical background and meaning of corporate socialresponsibility, and elaborates the legitimacy of corporate socialresponsibility with emphasis, so that readers have a clearer understandingabout it.Part two, the rise of the foreign corporate social responsibilitymovements and analyzing them. This part recalls the theories and practicesof corporate social responsibility in the United States,Britain,Germany,the International Community and Industrialists, and analyzes them further,then, we can learn form them.Part three, corporate social responsibility movements in China and theproposes of the construction of the legal system. This part makes a briefreviewing and analyzing about the theories and practices of corporate socialresponsibility and points out the problems of corporate social responsibilityin China, and further produces proposes of construction of the legal systemabout corporate social responsibility from the macro and micro aspects. Thispart is the foothold and the ultimate goal of the paper.Finally, conclusion. On the basis of summarizing the whole paper, thispart affirms again that corporation makes profits as well as bearscorresponding social responsibility, and affirms again the importance ofcorporate social responsibility to realize society's harmony and the society'ssustainable development.
