Privately offered fund can be normally divided into privately offered securities investment fund and privately offered stock equity investment fund. The former means the investment fund which collected fund from specific investor by closed-door style and invest on stock, bond, and etc. The later means the investment fund which also collected found from specific investor by closed-door style but invest on non-listed corporation stock equity.The core point of this thesis is about the legislation and supervision of privately offered fund. For the convenience of writing, the privately offered securities investment fund will be written as Privately Offered Fund.The Privately offered fund in China initiate from 90s'of twentieth century. It is absolutely founded spontaneously under the draught of market demand refer the overseas privately offered fund operation. Up to now, there is no integrate written law on standard of the privately offered fund. Although it is difficult to calculate the scale of domestic privately offered fund in detail, it is truly believed that the privately offered fund have become very huge in China. The initiation and rapid development of privately offered fund resulted from the inside demand of our securities market. And its development plays an important role for constructing and integrating our securities market. However, Chinese privately offered fund is running in the vacuum situation of law, so that it is not only running normative but also may lead gaint risk of politics with its lack of supervision. Therefore, it will really settle and prevent the happening of the problem only by found legislation quickly for privately offered fund. And that is the only way to lead the healthy development of privately offered fund in the framework of law. So, this thesis regard the legislation and supervision for privately offered fund as the subject investigated. And based on the investigating of overseas legislation and supervision on privately offered fund, also compared with the domestic reality of privately offered fund development situation,then make a conclusion of the main contents and recapitulative suggestion on Chinese privatelyoffered fund.There is four parts of the thesis.In the first part, there is a introduction of the development situation of privately offered fund on all over the world and the definition of domestic privately offered fund also shown in this part.In the second part, there is a comparative investigation of privately offered fund. And conclude systematically on the regulation and law for privately offered fund in American and Cayman Island.In the third part, it shows the current situation and policy choice of domestic privately offered fund, and then, investigated the initiation reason, development situation and problems remain on the privately offered fund in China.In the last part, there is a discuss of contents on legislation and supervision for domestic privately offered fund, and also provides some framework suggestion on the theme.
