Law In China Innovation System Research

Abstract: Our country company law implemented in 11 years in order to make some adjustments and the revision, but compared with the request of the market economy, it still has a bigger disparity. In particular as a result of the our country market economy organizational reform unceasing deepening and the national economy rapid development, the company law existence and the function social condition has already had many tremendous changes, the existing company law theory and the legal system can not catch up with the practice, so the question is prominently day by day.The tenth session of National People's Congress long commission 18^th conference considered the vote to pass the "People's Republic of China Company Law", the new company law got up the official execution to January 1, 2006. The fledgling firm law has profited from other national legislations, also summarized the experiences from the company law of our country to implement more than ten for years, and on company's establishment, investment system, shareholder rights and interests protection, internal government structure, person of company all made the important revision and the new system arrangement which perfect our country company system and promote the socialist market economy development, will play the vital role. This article has chosen the hot spot —company's four systems which the current academic circles and the solid service pay attention: The company capital systems, a person of company, the company legal person personality denial system, the independent sensible system have conducted more detailed research.
