Independent Director System In China's Internal Oversight Mechanisms Study

Independent director system originated from centralized leadership system in the United States of America which is a very important system to strengthen supervision system inside board of directors, to protect the interest of shareholders and companies. Since 1990s many countries in the world, including binary system Japan, have developed independent directors system. The stock rights in Chinese public companies are centralized, which determines that the main function of independent director system is to keep the balance of senior partner and protect the interest of minority stock holder and specify company's working. China should refer to British, American, and Japanese advanced experience if we want to make independent design of director systems, more important, China should combining with Chinese reality, especially public company' structure and remove and correct some problems in the' course of system graft and coordinate the relationship with board of supervisors to get prospective social benefit.
