The law that the European Union (E.U) controlled the enterprise mergence mainly reflected in the Statute No.4064. The release of this statute is regarded as the important development in the competition laws adopted by E.U since 1958 on this aspect of substantive law. From then on, E.U has specific statute to limit the enterprise mergence. Statute No.4064 and Article No.81 prohibiting Cartel and Article No.82 prohibiting abuse of dominating position in the market within "the Convention of European Nations" constituted three pillars of the E.U competition law. It has been shown that the Statute No.4064 has helped the E.U effectively defend the market competition inside the E.E.S and largely reduce the negative influence brought by the enterprise mergence in some degree. This paper will begin with the law's development adopted by E.U enterprise mergence, mainly probe into the application limits of the Statute No.4064, the application of entity law, its procedure and the effect of outside country. On this basis it will analyze the influence of the Statute No.4064 in our country and the meaning for reference.
