Sino-foreign Joint Venture Contract Research

According to the theories on contract law and corporation law, this paper studies the contract for Sino-foreign joint venture on the basis of the legislations and realities in China. It begins with a brief introduction to joint venture in the field of international investment, and then discusses the nature of the joint venture contract After scanning the making process of the contract, this paper researches the main articles thoroughly and analyses the relation between the joint venture contract and the articles of incorporation. At last, it probes into the limitation of freedom of will in the contract for Sino-foreign joint venture. The author points out that being the foundation of building and operation of a joint venture, a joint venture contract acts as an initiators' agreement and an agreement between shareholders in the meanwhile, holding a joint venture together.
