Number Of Important Issues In The Electronic Contract Research

With　the　popularization　of　Internet,　the　electronic　commerce　has　made　great　progress.　However,　during　the　course　of　frequent　network　trading,　numerous　problems　concerning　law　have　brought　challenges　to　the　present　law　system.　Combining　with　the　author's　some　practice　in　electronic　commerce,　with　the　research　background　of　the　network　business,　referring　to　the　international　and　overseas　legislation　and　comparing　with　the　relative　laws　of　our　country　as　well,　this　article　tries　to　discuss　several　crucial　problems　of　electronic　contract.　　In　the　first　two　parts,　this　article　analyzes　the　concepts　such　as　electronic　commerce,　network　trading,　electronic　contract　and　so　on,　for　the　purpose　of　defining　these　concepts　exactly.　In　the　third　part,　the　article　tries　to　solve　the　first　problem,　the　legal　effectiveness　of　electronic　form,electronic　contracts　facing　unavoidably　under　the　present　law.　In　the　fourth　part,　the　article　researches　how　to　identify　the　capacity　and　status　of　the　two　parties　in　electronic　contract.　At　the　same　time,　this　part　also　includes　the　electronic　agent　and　the　trading　platform　closely　relating　to　the　subject　of　electronic　contract,　thus　a　better　understanding　will　be　gained　in　the　same　part.　The　fifth　part　does　some　research　on　the　declaration　of　will　in　electronic　contract,　and　has　its　special　problems　discussed　in　the　frame　of　system　of　declaration　of　will　in　the　traditional　contract.　The　last　part　are　some　thoughts　and　expectations　about　the　relative　legislative　pattern　on　electronic　commerce　in　our　country,which　is　also　the　end　of　this　article.
