Establishing a fine governing structure in corporation is an important way to a country or companies to erect confidence in markets and attract investment. It is also a system basis to ensure a company' s long-time stable development. Until 1990s, in the influence of economic globalism, governing structure in company has become a general problem. Especially in China, it has too many realities. As a recently building commercial bank with no large-scale, Nan Chong Commercial Bank has founded its governing structure and rules step by step. After a year' s running, they have brought into play good functions. But, if they are compared with excellent ones in the world, they also have distance in some degree. And with the development of policy in Nan Chong Commercial Bank, reforming and optimizing of governing structure and rules has become very necessary.This article concentrated on the topic of governing structures and rules of middle commercial banks. At first, it proved the necessity of the research. Then, on the basis of demonstration of governing theories, the article analyses the present conditions of corporation governing structures in our country, especially in the middle commercial banks. In this article, we used the method of comparison to study the governing and organization structures of commercial banks in provincial capitals and other cities. At last, this article posed the countermeasures to improve the ones of Nan Chong Commercial Bank and put forward the system of governing rules in the bank.1st, put theory into practice. We related the theories of corporation governing and organization structures to the practice of national commercial banks. We paid attention to the application of theories and the conclusion of practice. By the means of this, our results of this research had the characters of guiding on theories and focalization in practice.2nd, combine inductive methods with innovations. By lots of books and datum, this article induced the contents needed and put forward the new ideas.3rd, use the method of comparison. In the research of this article, we mainly compared the governing and organization structures among many commercial banks. By means of this comparison, we found something with general characters and made them as the basis to study.
