| Based on the fundamentals of the common law and stock market, this paper first presents the concepts, functions of stock market, and then discusses its characteristics and legal status. After introduction is given to the concept, range and subject matters of the stock exchange rules, the stress goes to the functionality of the rules. Since stock exchange plays a relatively special role in stock market, both as the major object of governmental supervision and subject that enjoys some market supervision power meanwhile, the third chapter elaborates the power the stock exchange has for rule making, analyzes the property of the rules rolled out by the stock exchange which plays the dual role, and launches a systematic classification of the stock exchange rules. Afterwards, a summary extends to the attitude of the courts to stock exchange rules and the compulsory practices thereof in American stock markets. The fifth chapter evaluates the potential risks ahead when stock exchanges are drawing and implementing rules, and thus puts forwards some -suggestions for Chinese stock exchanges as how to mitigate and even avoid these risks, through digesting the experiences and practices of stock exchanges in well developed foreign stock markets. |
