| The wave of transnational M&A in international banking are widespread since mid-late 1990s, and this wave still goes further. Along with 25 years' reform and opening-up, the internationalization of our country's banking has been started, however, its general level is low, and especially the level of transnational M&A is in primary stage yet.With the further development of economic globalization and financial liberalization, our country's banking is approaching the international banking day by day. Therefore, it is of an important practical significance for the development of the internationalization in our country's banking that looking back the wave of the transnational M&A in international banking in recent years and analyzing its features and reasons.Applying to Marxism dialectical materialism as basic method, this thesis is composed of four parts, which comprise the conceptual definition, the theoretical analysis, the demonstrative analysis and the strategic research.To begin with, the author defines some relevant concepts about the bank's transnational M&A and the bank's internationalization, which include the corporation's M&A and transnational, the bank's M&A and transnational M&A, the multinational bank and the bank's internationalization. This part provides the prerequisites for the analysis and research in this thesis.Subsequently, the author analyzes some relevant theories about the bank's M&A, which contain the bank's economies of scale theory, the bank's economies of scope theory, the efficiency theory, the market power theory, the transaction cost theory. This part sets a theory basis for the demonstrative analysis in the third part.Further, the author demonstrates the tide of the transnational M&A in international banking in recent years. Its basic logic can be described as follows: Firstly, the author looks back the wave of the transnational M&A in international banking in recent years. Secondly, the author analyzes its four outstanding features, which are the areas of the M&A concentrate on the western developed countries mainly, and spread into the developing countries step by step; the fields of it broaden continually; the scales of it expand unceasingly; and the subjects of it change into strong alliance mainly from the strong swallowing the weak. Finally, after analyzing its three external reasons, applying to the basic theories of the bank's M&A, the author analyzes its three internal reasons, which are the need of breaking through the trade barriers of financial service and realizing the development of the bank's internationalization, the need of taking the advantages of the mixed operation and pursuing the bank's economies of both the scale and scope, and the need of playing the complementary of their advantages and realizing their synergy. This part offers a positive reference for the strategic research of the forth part. Finally, the author studies the strategies, which are applied to the development of internationalization in our country's banking. Its main points of views are represented as follows: Firstly, after summing up the status of our country's banking simply, the author analyzes its three problems, which contain external conditions, internal factors and transnational operation. Secondly, according to these problems, consulting the experience of the transnational M&A in international banking, the author puts forward the corresponding strategies. For the external conditions, one is to attempt to optimize the system environment of the transnational M&A in our country's banking; and the other is to raise our financial authorities' ability to both the regulation and coordination comprehensively. For the internal factors, one is to accelerate the speed of both the strategy and the structure in our country's banking; the second is to enlarge the disposal of the bad assets in our country's banking; the third is to speed up the talent training and the technical development in our country banking.
