| Based on the theory of corporate governance, this paper mainly focuses on its contents and optimization tactics in modern joint-stock companies, which has become increasingly important in the economic field. Hunan Zhenghong Science and Technology Development Co., Ltd (the shortened form is "Zhenghong Company") is a successful case, which reformed from a state-owned enterprise. Therefore, the research on its corporate governance is significant and representative. Today, a modern company system has been built in Zhenghong Company and run regularly. But there are still many issues in Zhenghong Company, such as irrational shares structure and the unreasonable incentive plans etc. The most important issue is the shortcoming of the general meeting, board of directors and board of supervisors. This paper devotes to analysis the reasons of these issues fyom shares structure, organizational structure and human resources management, finally raising the corresponding optimization tactics in corporate governance. First, decreasing the state-owned shares can optimize shares structure in Zhenghong Company. Second, according to the principles of modern corporate governance, new organizational structure has been designed in the paper. Finally, distribution and training systems have been described.It's known that corporate governance is extremely significant in modern joint-stock companies. Optimizations about corporate governance in Zhenghong Company will make it run more efficiently and fulfill the highest profit and value. |
