The paper includes 4 chapters.On ground of theoretic & practical analysis of the background and development history, the paper suggests the line and method of "management stock holding (MSH)", which is proved and developed further by real cases. Based on the western theory, the paper focuses on the points which are more suitable for Chinese circumstance. Chapter One tells the background and inevitability of fast growing of MSH although it seems opposing to the basic theory of "separation of proprietorship and operatorship" for modern enterprises. Following the introduction of development history and characteristic of MSH abroad represented by "employee stock ownership planning (ESOP)" and "executive stock option (ESO)", the paper summarizes the MSH theory, practice and related policies starting with review of management compensation situation in China. It also classifies the Chinese MSH such as inner-employee stock holding and option, etc.Chapter Two comprehensively analyses the design and practice of MSH in China including full solutions for method selection, element confirmation, stock & capital source, procedure and relevant system construction. It also points out that short of law system is the most exigent problem among a serious of obstacles. Some valuable clews of policy progress are listed too.Chapter Three includes 3 successful cases and 2 failure ones which are representative in enterprise classification and method of stock holding. The cases illuminate further and support the main points of the paper. It will also help the readers to understand the key successful factors in MSH.Chapter Four is conclusion.
