| The unprecedented development of transnational merging and annexation mainly by transnational corporations has signified that transnational merging and annexation has become major means for international investment. This is an important phenomena in direct investment field at the dawn of 20th century. But investment of solely-funded operation is still the main method of luring foreign investment in China, which is out of line with the major transnational investment method and has hindered the extension of the scope of luring foreign investment.This thesis is composed of the following five parts: In Part One, the theoretic foundation and the development course of transnational is summarized. The characteristics, cause of formation, development trends of transnational annexation and merging are also analyzed. In Part Two, the existing problems of annexation and necessity involved with foreign investment by means of merging and annexation is stressed, meanwhile, it has ideas to solve the problems. In Part Three, the need to integrate foreign investment policy and industrial policy when attracting foreign investment by annexation and merging is put forward. In Part Four, the strategy of expanding the market system is discussed, hi Part Five, the strategy of optimizing the laws system of transnational merging and annexation in China is discussed. |
