Insolvency institution is closely related with the development of market economy, therefore, a sound insolvency institution is a must for establishing a socialist market economy for our country. Compared with a rather consummate insolvency institution of the western countries, the existing reles and regulations concerning the insolvency in our country seem too imperfect. A sound insolvency institution include reorganization law. In veiew of the above-mentioned facts, we are confronted with such an important task that a perfect system of the reorganization law be established in our country. The author tries to make some study. The article is divided into 4 parts, added up to more than 39 thousand words. Part one is introduction. The reorganization institution is compared with the bankruptcy and composition institution so as to make comments on the legal values, which helps us with better understanding of the nature of reorganization. The above-mentioned comment puts forward the emphasis of the whole that including authorization to operate busiuess and adequate protection. Part two studies the theory of practitioner who operates goiug concern in reorganization. This part gives a comprehensive analysis to the concept, qualification, authority on operatiug business, legal integrum, commission, supervision. Part three is a comparative tudy of the legal issues of abligation protection. Through the comparision and analysis of the causes of legal conflicts and the principles of legal application, scope and sequence of creditors rights in reorganization, this part points out the specialitied in reorganization legislation concering the matter. Part four is a conclusion which deals with the development and improvement of Chinese reorganization law. First, the author discusses the present situation and demerits. Secondly, the author points out the conceivability of developing law and improving Chinese reorganization.
