Online shopping is a rapid development of new shopping way, but because of their transactions electronically, the traditional civil law countries in this new trading method in the adjustment process had a dispute, or even legal blank. Due to online shopping lack of legal norms and the use of electronic means of non face to face with nature, the current online shopping fraud is serious and security problems are grim. This paper mainly study the specific problems of C TO C mode based on home and abroad the current laws. The contract performance and dispute resolution as the main line, make analysis of the on-line shopping Exist in the contract dispute analysis, and put forward my own views on these disputes.The contents of this paper generally includes the following sections:The first chapter basically know online shopping concepts, mode and compares with the traditional business contract with the legal characteristics。The second chapter, aims at online shopping contract offer, an invitation and commitment determination, time and place of entry into force of the contract and contractual restrictions in force. The third chapter, through the understanding of the standard terms, in terms of format, analyzes the effectiveness of the standard terms in the online shopping contract and improves the mechanism.
